For company secretarial firms in South Africa

Lodged runs your book.
Your team files.

An AI administrator for the work between the deadline and the filing. Lodged watches every entity's CIPC calendar, chases your clients for the documents in your firm's name, checks what comes back, drafts the pack and keeps the record. Your people approve and file.

Start with ten entities, no setup fee. Scale to your whole book. First firms go live in the January 2027 beneficial-ownership wave.

What Lodged does

Four jobs an administrator does for every entity, every year. Done before anyone asks.

Each act carries its reason in one sentence, and every message goes out in your firm's name and your approved wording.

01

Watches the calendar

Every entity's annual return window and beneficial ownership date, computed from CIPC's rules and the public-holiday calendar, with the rule and its source behind each date.

Mokoena Holdings, registered 15 Mar. Window 15 Mar to 29 Apr 2027. Turnover band R1m to R10m: fee R450.
02

Chases your clients

Email and WhatsApp, from your firm's domain and number, on a ladder you set. Templates start as drafts you approve, and earn the right to send on their own after 20 clean sends. Every auto-send has a 60-second undo.

Chase 1 at 30 days out. Chase 2 at 14. A call list for your team at 7.
03

Checks what comes back

Clients upload from a phone, no login. Lodged reads each document and gives a verdict in under 15 seconds: accepted, with the fact that passed; failed, with what to do; or unsure, which goes to a person and never blocks the client.

"Certified 3 January 2027. Accepted." or "Stamp dated 2 March 2026, older than three months. Please re-certify."
04

Drafts the pack and keeps the record

A filing-ready pack per obligation, with the resolution, mandate and documents in order. Every event is logged with a hash and readable as a plain-English timeline, exportable per client as a PDF.

"14 Jan 09:12 Lodged emailed Thandi Mokoena asking for a certified ID (template BO-chase-1 v3, approved by S. Naidoo)."

Your team files. Lodged never submits to CIPC, never gives advice, and never pauses or cancels an obligation on its own. Those are a person's decisions, and the Record shows who made each one.

Three screens

Nothing to learn. Day one shows your own book with real dates.

The Queue

What needs you, and why

One list, sorted by days to window close. Each row says what is waiting and has one action. Keyboard for everything. When the list is empty it says so: "Nothing needs you."

The Book

Every entity, one line each

Name, registration number, next obligation, window, status, administrator, last client contact. Click any line and the whole entity opens beside it: the client thread, documents, pack and dates.

The Record

Proof of what happened

Every message, upload, check and filing, with its reason, in order, searchable. Export per client as a PDF your auditor or the client's attorney can rely on.

What it doesn't do

The lines we hold

They keep Lodged outside the FIC Act's trust and company service provider definition and keep your professional judgement where it belongs.

  • Doesn't file on CIPC. It drafts; a named person at your firm submits and records the reference.
  • Doesn't form companies or give advice. Routine filing support only. Questions from clients are routed to your administrator.
  • Doesn't speak as itself. Your clients see your firm's name, logo and wording. Lodged appears once, in the upload page footer.
  • Doesn't act without a reason you can read. Every automated act states why it happened, in one sentence, in the Queue and in the Record.
Pricing

Per entity, per month. Billed on what was actually on your book.

Prices exclude VAT. Entities are counted daily and billed in arrears, so an entity added on the 20th costs a third of the month.

Pilot
1 to 10 entities
R95per entity per month
No setup fee, no minimum, month to month. Email chasing from a Lodged address sending for your firm. Try it on the ten entities that give you the most trouble.
10 entities: R950 a month
Practice
11 to 999 entities
R75per entity per month
Your own sending domain and WhatsApp number, your templates in your wording, your whole register imported. Minimum R2,500 a month.
300 entities: R22,500 a month
Group
1,000 entities and up
R60per entity per month
Everything in Practice, plus single sign-on, a named contact, and the January wave run as a project with you.
2,500 entities: R150,000 a month
SetupPractice and Group only: R25,000 once, credited back across your first three invoices. It pays for importing your register, verifying your sending domain and WhatsApp number, and approving your templates. Pilot has none.
Moving upA Pilot moves to Practice the day you add the eleventh entity. The setup fee applies then, and the month's Pilot fees are credited against it.
ContractPilot is month to month. Practice and Group are twelve months, billed monthly, cancel at the anniversary. Your data exports as a zip at any time.
CurrencySouth African rand, invoiced with VAT, paid by card or EFT.
What it replaces

The chasing, checking and pack-building hours behind every annual return and beneficial ownership filing. Your administrators keep the judgement calls and the filing.

Firms that prefer to pay per outcome can ask about a per-pack price instead of a monthly fee.

Data and security

Your clients' data stays yours.

POPIA operator agreementLodged processes on your instruction as an operator under section 21. The agreement is part of the contract, not an add-on.
One firm, one boundaryEvery firm's data is isolated at the database level. ID numbers are masked in the interface and documents sit in private storage with per-firm keys.
Your domain, your numberEmail sends from your own domain with DKIM and SPF; WhatsApp from a number registered to your firm. Nothing goes out under Lodged's name.
Export and deletionExport any client's full record as a zip. Delete a client with a 30-day hold. The Record's hash chain verifies on every export.
Questions

Asked by the first firms

How does my register get in?

Three doors: a CSV or Excel export from your current software, a CIPC entity list, or a short call where we import it with you. The setup fee covers it. Dates are recomputed from the registration date, so a bad spreadsheet date doesn't become a missed window.

What if the agent sends something wrong?

Every template starts at draft: you approve each send. After 20 clean sends you can promote it to send on its own, and every auto-send can be undone for 60 seconds. If a client replies with a question, it goes to your administrator, never answered by the agent.

Do my clients need an app?

No. They tap a link from WhatsApp or email and upload from their phone's camera. The page carries your firm's name and logo and works on any phone without a login.

Who is behind Lodged?

Lodged is built by Automaiq, an AI automation consultancy, with a company secretarial firm as its first design partner. Automaiq's registration appears on invoices until Lodged is its own company.
